1. Operator
This website and the Exedra Gate infrastructure (“the Platform”) are operated by ATRUM STUDIOS LTD, a company incorporated in the Republic of Cyprus (Company No. HE 478783), with its business address in Paphos, Cyprus.
2. Nature of the Service
Exedra Gate is software infrastructure: a secure onboarding, document, signing, and evidence environment for private-capital workflows. It is not a broker-dealer, investment adviser, custodian, escrow provider, exchange, or trading venue. It never holds, routes, or settles investor funds, never matches buyers and sellers, never promotes offerings, and never charges success-based fees on raises.
3. Eligibility
The Platform is available to verified entities and individuals who meet the applicable regulatory requirements for private-placement participation in their jurisdiction. Access is invitation-based.
4. Account Obligations
- Users must provide accurate registration information.
- Strong authentication (AAL2) must be enabled and maintained.
- Account credentials and approval devices must not be shared.
- Users are responsible for all activity conducted under their account.
5. Permitted Use
The Platform may be used only for lawful purposes related to private-capital transactions, document management, and compliance workflows. Any use that violates applicable securities, AML, or data-protection law is prohibited.
6. Signing & Evidence
Electronic signatures executed through the Platform are designed to meet recognised advanced electronic-signature standards. An evidence pack — Ed25519-signed, RFC3161-timestamped, and hash-chained — is generated for signing events and retained for the legally required period. Evidence packs are independently verifiable offline.
7. Certification
Where issuer certification is provided, it attests an identity-and-screening process as of a stated date and is point-in-time and source-limited. It is not investment advice, an endorsement, a suitability or merit judgment, or a guarantee of future conduct or investment safety.
8. Limitation of Liability
The Platform provides infrastructure for secure transactions. It does not provide legal, financial, or investment advice, and makes no AML, suitability, or compliance determination. Users are solely responsible for the content of documents uploaded and transactions executed through the Platform.
9. Termination
Either party may terminate with 30 days’ written notice. Legal retention obligations for audit trails and evidence packs survive termination.
10. Governing Law
These Terms are governed by the laws of the Republic of Cyprus. Disputes are subject to the exclusive jurisdiction of the courts of Paphos, Cyprus.
